These Terms govern all access to and use of the SNB Marketplace Platform by buyers and users across Nigeria and internationally.
Effective Date: 2026 | Jurisdiction: Federal Republic of Nigeria
1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern access to and use of the SNB Marketplace Platform ("Platform") operated by Shop Naija Brands ("SNB", "we", "us", "our"). By creating an account, browsing, or placing an order on the Platform, you ("Buyer", "you") agree to be bound by these Terms, the Returns and Refunds Policy, the Shipping/Delivery Policy, the Credit Wallet Terms of Use, the Privacy Policy, and the Cookie Policy, each of which is incorporated by reference. If you do not agree to these Terms, you must not use the Platform.

Other capitalised terms have the meanings given in the Returns and Refunds Policy, Delivery Policy, or Credit Wallet Terms of Use, as the context requires.
3. Nature of the Platform
The Platform is a marketplace that enables independent Vendors to list and sell Products to Buyers. Save as expressly stated in these Terms or the Vendor Agreement, SNB is not the seller of Products listed by Vendors and is not a party to the contract of sale formed between a Buyer and a Vendor. SNB facilitates order placement, payment processing, and, where applicable, logistics, but does not manufacture, own, or hold title to Vendor Products at any stage unless SNB is itself identified as the Vendor for a specific listing.
4. Eligibility and Account Registration
To use the Platform, you must be at least 18 years of age and capable of forming a binding contract under Nigerian law. You must provide accurate, current, and complete information when registering an Account and must promptly update any changes. You are responsible for maintaining the confidentiality of your Account credentials and for all activity conducted through your Account.
5. Orders and Contract Formation
Placing an Order constitutes an offer by the Buyer to purchase the relevant Product, which is accepted upon the Vendor's (or, where applicable, SNB's) confirmation of the Order. SNB reserves the right to cancel or refuse any Order, including where a Product is unavailable, mispriced, or where fraud or policy abuse is suspected.
Product descriptions, images, and specifications are provided by Vendors, and while SNB requires Vendors to ensure accuracy, SNB does not independently verify every listing and shall not be liable for inaccuracies save as set out in clause 10 (Liability) of the Returns and Refunds Policy.
6. Pricing and Payment
Prices displayed on the Platform are inclusive of applicable taxes unless stated otherwise and are subject to change without notice prior to Order confirmation. Payment may be made through the payment methods supported by the Platform, including the Wallet in accordance with the Credit Wallet Terms of Use. SNB uses third-party payment processors and does not store full payment card details.
7. Returns, Refunds, Delivery, and Wallet
Returns, refunds, and delivery of Products are governed by the Returns and Refunds Policy and the Shipping/Delivery Policy. Use of the Wallet is governed by the Credit Wallet Terms of Use. Each of these documents is incorporated into these Terms by reference and forms part of the agreement between you and SNB.
8. Prohibited Conduct
You must not use the Platform to:
- a. Violate any applicable law, including the Federal Competition and Consumer Protection Act 2018 (FCCPA) or the Nigeria Data Protection Act 2023 (NDPA 2023);
- b. Submit false, misleading, or fraudulent Orders, return requests, or reviews;
- c. Circumvent the Platform to transact directly with a Vendor in a manner that avoids applicable fees, where such circumvention is prohibited under the Vendor Agreement;
- d. Interfere with the security or proper functioning of the Platform; or
- e. Infringe the intellectual property or other rights of SNB, a Vendor, or any third party.
9. Intellectual Property
All intellectual property in the Platform, including its design, software, trademarks, and content created by SNB, is owned by or licensed to SNB. Product listing content (images, descriptions) remains the property of the relevant Vendor, subject to the licence granted to SNB under the Vendor Agreement to display such content on the Platform. No right or licence is granted to Buyers to use SNB's or any Vendor's intellectual property except as necessary to use the Platform for its intended purpose.
10. Limitation of Liability
Liability as between Buyers, Vendors, and SNB in respect of defective, damaged, incorrect, or misrepresented Products, and in respect of delivery failures, is governed by clause 10 (Liability for Refunds) of the Returns and Refunds Policy, which is incorporated into these Terms. To the maximum extent permitted by applicable law, and without prejudice to any right that cannot lawfully be excluded under the FCCPA, SNB's aggregate liability arising from or in connection with the Platform (other than liability arising from SNB's own negligence under clause 10(c) of the Returns and Refunds Policy) shall not exceed the value of the relevant Order.
SNB shall not be liable for any loss or damage arising from an Unforeseen Circumstance, as defined in the Returns and Refunds Policy.
11. Indemnification
You agree to indemnify and hold SNB harmless from any claim, loss, or liability arising from your breach of these Terms, your misuse of the Platform, or your violation of any applicable law.
12. Suspension and Termination
SNB may suspend or terminate your Account where it reasonably believes you have breached these Terms, engaged in fraudulent activity, or abused the return and refund system in accordance with clause 12 of the Returns and Refunds Policy. You may close your Account at any time by following the process made available on the Platform, subject to the completion of any pending Orders or return requests.
13. Dispute Resolution and Governing Law
Governing Law: These Terms are governed by the laws of the Federal Republic of Nigeria.
Good-faith Resolution: The parties shall first attempt to resolve any dispute arising from these Terms through good-faith negotiation via the Platform's customer support channel.
Jurisdiction: Where a dispute cannot be resolved within thirty (30) days, either party may submit the dispute to the courts of Akwa Ibom State, Nigeria, which shall have exclusive jurisdiction, without prejudice to any right a Buyer may have to escalate a complaint to the Federal Competition and Consumer Protection Commission under the FCCPA.
14. Amendments
SNB may amend these Terms from time to time. Material changes will be notified through the Platform or by email, and continued use of the Platform following such notice constitutes acceptance of the amended Terms.
15. General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and SNB in respect of your use of the Platform.
